General Counsel (Ventures, Strategy, M&A) (Finance)

This position is intended for the new, independent company, Solstice Advanced Materials, which is expected to be separated from Honeywell in late 2025 or early 2026.

The General Counsel of Ventures, Strategy, and M&A will advise the Corporate Development team and all Honeywell businesses on executing joint ventures, minority investments, and other transactions. You will collaborate with corporate development, HR, finance, legal, and other stakeholders to ensure proper transaction execution aligned with strategic priorities.

The ideal candidate will balance competing priorities, possess strong analytical and technical skills, and demonstrate collaborative, client-centric interpersonal skills to work effectively across functions and geographies. Attention to detail, strategic leadership, and risk management expertise are essential.

Must Have:

  • JD Law Degree
  • 5+ years of legal experience, ideally with law firm and in-house roles at a global public company, in areas relevant to these responsibilities
  • Licensed to practice law in at least one U.S. state
  • Verifiable knowledge of corporate transactions, U.S. public company disclosure, governance, and compliance, with experience advising on various transaction types

  • Manage transaction processes from start to finish
  • Ensure compliance with internal policies
  • Coordinate legal support across functions
  • Standardize documentation and risk approach
  • Support post-closing actions and integrations
  • Oversee governance of joint ventures
  • Manage outside counsel and vendors
  • Handle other legal matters as needed
